Terms of Service

1. About Clerk Finance

Clerk Finance is a suite of online tools operated by Lang IT Services Inc., a company registered in Alberta, Canada. Our services include:

  • Clerk (clerkfinance.com) — invoicing and financial management for freelancers and small businesses
  • Store (store.clerkfinance.com) — digital product storefront for purchasing and downloading digital goods
  • Darwin (darwin.clerkfinance.com) — AI assistant platform
  • Landlord (landlord.clerkfinance.com) — property management tools for landlords and tenants

These terms apply to all Clerk Finance services. By using any of our services, you agree to these terms.

2. Your account

  • You must provide accurate information when registering
  • You're responsible for keeping your password secure
  • One person per account — don't share credentials
  • You must be at least 18 years old to use our services
  • A single Clerk Finance account works across all our services

3. Invoicing services (Clerk)

Clerk is an online invoicing tool. You can create invoices, manage clients, track payments, and send professional emails — all from your browser.

  • You own your data — invoices, clients, financial records are yours
  • We don't sell your data to third parties
  • We're a tool, not an accountant — you're responsible for tax compliance and financial accuracy
  • Don't use Clerk for illegal activities, fraud, or money laundering

4. Digital product purchases (Store)

When you purchase digital products through our Store:

  • You receive a personal, non-transferable license to use the product
  • Products are delivered as digital downloads — you'll receive a download link immediately after purchase
  • Download links expire after 7 days with a maximum of 5 downloads per link
  • If you create a Clerk Finance account, purchased products are permanently available in your Library
  • You may not redistribute, resell, or share purchased products
  • Payments are processed securely by Stripe — we never see or store your full card details

5. Refunds

Digital products are non-refundable once downloaded, as they cannot be "returned." However, we want you to be satisfied:

  • If a product is materially different from its description, contact us within 14 days for a full refund
  • If you experience technical issues preventing download, we'll fix the issue or issue a refund
  • Contact us at hello@clerkfinance.com for any refund requests

6. AI services (Darwin)

  • AI responses are generated by language models and may contain errors
  • Don't rely on AI output for legal, medical, or financial advice
  • We may log conversations to improve the service
  • Don't input sensitive personal data (SSN, credit card numbers) into AI chat

7. Property management (Landlord)

  • Landlord is a property management tool for landlords and their tenants
  • You're responsible for the accuracy of property, lease, and financial data you enter
  • Landlord is not a substitute for legal advice on tenancy laws in your jurisdiction
  • Tenant-facing features allow your tenants to interact with their lease and payments — you're responsible for ensuring compliance with local landlord-tenant regulations

8. Pricing and subscriptions

Some Clerk Finance services may offer free tiers, trials, or paid subscription plans. When applicable:

  • Prices are listed on each service's website and may change with reasonable notice
  • Subscriptions renew automatically unless cancelled before the renewal date
  • You can cancel your subscription at any time — access continues until the end of the billing period
  • Refunds for subscriptions are handled per our Refund Policy

9. What you can't do

  • Attempt to hack, reverse-engineer, or disrupt our services
  • Use automated tools to scrape data or abuse our APIs
  • Impersonate others or misrepresent your identity
  • Use our services for anything illegal

10. Service availability

We aim for high uptime but don't guarantee 100% availability. We may perform maintenance, update features, or modify services at any time. We'll try to give reasonable notice for significant changes.

11. Termination

  • You can delete your account at any time
  • We can suspend or terminate accounts that violate these terms
  • If we terminate your account, you can request an export of your data
  • Purchased digital products remain accessible for 30 days after account termination

12. Liability

Our services are provided "as is." We're not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you've paid us in the 12 months preceding any claim. This doesn't affect your statutory rights as a consumer.

13. Governing law

These terms are governed by the laws of the Province of Alberta, Canada. Any disputes will be resolved in the courts of Alberta.

14. Changes to these terms

We may update these terms from time to time. We'll notify registered users by email for material changes. Continued use after changes constitutes acceptance.
